PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SITE.

1. Definitions

For the purposes of these Terms of Service:

“GraphMaker”, “we”, “us” and “our” refer to the operator of the Site;
“Site” means the GraphMaker website and web application, together with all associated pages, features, functionality and software;
“User”, “you” and “your” refer to any individual or entity that accesses or uses the Site;
“User Content” means any file, dataset, table, text or other material that you open, load, paste or enter into the Site;
“Output” means any chart, image, statistic, model, forecast, prediction, exported file or other result generated by the Site from User Content; and
“Terms” means these Terms of Service, together with the Privacy Policy, which is incorporated herein by reference.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you and GraphMaker governing your access to and use of the Site. If you access or use the Site on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to “you” shall include that organisation.

3. Description of the Service

The Site enables Users to generate charts, statistical analyses and model-based forecasts from tabular data. All processing of User Content is performed locally within the User’s web browser. The Site is provided free of charge, does not require registration and does not offer paid features.

4. Licence to Use the Site

Subject to your continued compliance with these Terms, GraphMaker grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Site for any lawful personal or commercial purpose. All rights not expressly granted to you under these Terms are reserved by GraphMaker.

5. User Content

As between you and GraphMaker, you retain all right, title and interest in and to your User Content. Because User Content is processed exclusively on your device and is not transmitted to GraphMaker, GraphMaker does not acquire, and you do not grant to GraphMaker, any licence or other right in respect of User Content.

You represent and warrant that you possess all rights, licences, consents and permissions necessary to use your User Content with the Site, and that such use does not violate any applicable law or regulation, any contractual or confidentiality obligation or the rights of any third party. You are solely responsible for your User Content and for maintaining backup copies thereof.

6. Ownership of Output

As between you and GraphMaker, and to the extent permitted by applicable law, you own all Output that you generate using the Site. You may use, reproduce, modify, distribute and display Output for any lawful purpose, including commercial purposes, without attribution to GraphMaker. GraphMaker makes no representation that Output is eligible for copyright or other intellectual property protection.

7. Prohibited Conduct

In connection with your use of the Site, you shall not:

(a) use the Site for any purpose that is unlawful or prohibited by these Terms;
(b) interfere with, disrupt, overburden or impair the integrity or performance of the Site or the infrastructure on which it is hosted, including by means of denial-of-service attacks or excessive automated requests;
(c) attempt to gain unauthorised access to the Site or to any system or network connected to it, or circumvent any security measure;
(d) reproduce, mirror or frame the Site, or any substantial portion of it, for the purpose of offering a competing or derivative service, or represent the Site as your own; or
(e) use the GraphMaker name, logo or other identifiers in any manner that suggests sponsorship, endorsement or affiliation without our prior written consent.

Nothing in this Section restricts you from viewing the source code delivered to your browser, from linking to the Site or from engaging in any activity expressly permitted by applicable law.

8. No Professional Advice; Accuracy of Output

Output is generated by automated processes, including automatic detection of data types, selection of axes, regression analysis, statistical hypothesis testing and machine-learning models. Output depends on the quality and structure of User Content and on assumptions inherent in each analytical method, and may be incomplete, inaccurate or misleading. Forecasts and predictions are estimates only and do not constitute a guarantee or assurance of any future value or outcome.

Nothing on the Site constitutes financial, investment, medical, legal, scientific, engineering or other professional advice. You are solely responsible for independently verifying the accuracy and suitability of any Output before relying on it, and you assume all risk arising from such reliance.

9. Third-Party Software and Services

The Site incorporates open-source software, including Chart.js, Pyodide, openpyxl, pandas, NumPy, SciPy and scikit-learn, each of which is licensed under its respective licence terms, which shall govern your use of such software to the extent applicable. The Site also relies upon services provided by third parties, as described in the Privacy Policy. GraphMaker does not control and is not responsible for any third-party software, service or website, and the inclusion of any link does not imply endorsement.

10. Intellectual Property

Excluding User Content, Output and third-party components, the Site and all content, design, text, graphics, logos and trade names comprised in it are owned by or licensed to GraphMaker and are protected by copyright, trade mark and other intellectual property laws. Except for the limited licence granted in Section 4, nothing in these Terms transfers or grants to you any right, title or interest in or to the Site.

11. Modification, Suspension and Termination

GraphMaker reserves the right, in its sole discretion and without notice or liability, to modify, suspend or discontinue the Site or any part thereof at any time. GraphMaker may suspend or terminate your licence to use the Site if you breach these Terms. GraphMaker does not warrant that the Site will be available at any particular time or location, or that it will be compatible with any particular browser or device.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL OUTPUT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. GRAPHMAKER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GRAPHMAKER DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRAPHMAKER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE OR ANY OUTPUT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF GRAPHMAKER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRAPHMAKER’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE OR ANY OUTPUT SHALL NOT EXCEED FIFTY UNITED STATES DOLLARS (USD $50).

Certain jurisdictions do not permit the exclusion of implied warranties or the limitation of liability for certain types of damages; in such jurisdictions, the foregoing exclusions and limitations shall apply only to the extent permitted by law. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, or any statutory rights you may have as a consumer that cannot be waived.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend and hold harmless GraphMaker from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) brought by a third party arising out of or relating to (a) your User Content, (b) your breach of these Terms or (c) your violation of any applicable law or the rights of any third party.

15. Amendments to these Terms

GraphMaker reserves the right to amend these Terms at any time. Any amendment will be posted on this page with a revised “Last updated” date and shall become effective upon posting, unless otherwise stated. Your continued access to or use of the Site following the posting of an amendment constitutes your acceptance of the amended Terms.

16. General Provisions

Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

No Waiver. No failure or delay by GraphMaker in exercising any right or remedy under these Terms shall operate as a waiver thereof.

Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without GraphMaker’s prior written consent. GraphMaker may assign these Terms without restriction.

Force Majeure. GraphMaker shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including failures of third-party hosting or network providers.

Survival. Sections 5, 6, 8, 10, 12, 13, 14 and 16 shall survive any termination of these Terms or of your licence to use the Site.

Entire Agreement. These Terms constitute the entire agreement between you and GraphMaker with respect to the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral, relating to its subject matter.
